Terms of Service

Effective Date: January 18, 2025

These Terms of Service ("Terms") govern your use of the Boopo platform ("Service"), operated by 13738248 Canada Inc. ("we", "us", "our"), a corporation incorporated under the laws of Canada. By accessing or using Boopo, you agree to be legally bound by these Terms. If you do not agree, you must not use the Service.

1. Services Offered

Boopo offers subscription-based SaaS products with multiple pricing tiers:

🚀 Starter — $97/month

$930/year (Save 20%)

Perfect for solo businesses just getting started.

$2,850/year (Save 20%)

For growing teams that need full automation, AI, and insights.

Everything in Starter, plus:

  • Priority Email & Chat Support

🛠️ Enterprise — $597/month

$5,730/year (Save 20%)

Best for large businesses or agencies with complex needs.

We reserve the right to modify features or pricing with 14 days' notice.

1.1 Usage-Based Pricing

In addition to subscription fees, certain features incur usage-based charges that are billed monthly under the billing section in the CRM:

  • Conversation AI: $0.04 per message
  • Reviews AI: $0.16 per review response
  • Content AI (Words): $0.36 per 1,000 words
  • Content AI (Images): $0.24 per image
  • Workflow AI: $1.20 per 750,000 words
  • Funnel AI: $1.485 per funnel
  • Workflow Premium Executions: $0.02 per execution

📞 Phone & SMS

  • Local Phone Number: $1.15 per month
  • Toll-Free Phone Number: $2.15 per month
  • Outbound SMS (Text Messages): $0.0124 per segment + carrier fees
  • Inbound SMS: $0.0124 per segment
  • Outbound MMS: $0.0200–$0.0220 per segment
  • Inbound MMS: $0.0100–$0.0200 per segment
  • Outbound Voice Call: $0.021 per minute (Making Calls)
  • Inbound Voice (Local): $0.0128 per minute (Receiving Calls)
  • Inbound Voice (Toll-Free): $0.0220 per minute
  • Voicemail Drop: $0.018 per minute
  • Answering Machine Detection: $0.0075 per call
  • Conference Calling: $0.0018–$0.0040 per minute per user
  • Client Minutes (Leg A): $0.004 per minute
  • WhatsApp: $0.111 per WhatsApp usage

  • Call Recording: $0.0025 per minute
  • Recording Storage: $0.0005 per minute per month
  • Call Transcription: $0.024 per minute

🔍 Lookup & Validation

  • Number Validation: $0.005 per lookup
  • Spam Detection: $0.005 per test
  • Name Lookup: $0.01 per lookup

✉️ Email

  • Email Sending: $0.001 per email
  • Email Verification: $0.0037 per email verification

All usage charges are billed monthly under the billing section in the settings in addition to your subscription fee. Prices are in US Dollars (USD) and may vary based on carrier fees and regional rates.

2. Account Registration & Security

  • You must be 18 years or older to create an account.
  • You agree to provide accurate information and keep your login credentials confidential.
  • You are solely responsible for all activity under your account.
  • You agree to notify us immediately if you suspect any unauthorized use.
  • We reserve the right to suspend or terminate accounts that are fraudulent, abusive, or in violation of these Terms.

3. Payment & Billing

  • All plans are billed monthly or annually and renew automatically until canceled.
  • Payments are processed securely via Stripe.
  • You authorize us to charge your card on file.
  • Failed payments may result in immediate suspension.
  • We are not responsible for transaction fees or currency conversion costs charged by your bank.

4. Refund Policy

  • All payments are non-refundable.
  • Cancel anytime before your next billing cycle.
  • Refunds are not guaranteed and are issued solely at our discretion in exceptional circumstances.

5. License & Usage Restrictions

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service.

You may not:

  • Reverse-engineer, decompile, or copy our software.
  • Use the Service for illegal, abusive, or harmful purposes.
  • Resell or sublicense the platform without written consent.
  • Interfere with system operations, network infrastructure, or security features.

6. Intellectual Property

All content, source code, visual design, branding, and trademarks remain our property or that of our licensors. Use of the Service does not grant ownership.

7. Service Availability

  • We do not guarantee uninterrupted uptime.
  • We may temporarily suspend the Service for maintenance or upgrades.
  • We are not liable for any data loss or business interruption resulting from downtime.

8. No Guarantees

We do not guarantee specific results, revenue, lead conversions, or business performance. The platform is a toolset — success depends on many factors outside of our control, including how you use the tools.

9. Termination

We reserve the right to suspend or terminate your access to the Service, with or without notice, if:

  • You breach these Terms
  • Your payments fail or are disputed
  • You misuse or abuse the Service

You may cancel your account at any time. Upon termination, all licenses will be revoked and your data may be permanently deleted.

10. Limitation of Liability

To the fullest extent permitted by law:

  • We provide the Service "as is" and "as available."
  • We disclaim all warranties, express or implied.
  • We are not liable for indirect, incidental, special, or consequential damages.
  • Our total liability is capped at the amount paid by you in the last 30 days.

11. Indemnification

You agree to indemnify and hold harmless us, our directors, officers, employees, and contractors from any third-party claims, losses, liabilities, damages, or costs arising from:

  • Your use of the Service
  • Your violation of these Terms or applicable laws
  • Your content or data submitted through the platform

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of Ontario, Canada. You agree to submit to the exclusive jurisdiction of the courts of Toronto, Ontario.

Binding Arbitration and Class Action Waiver

At our sole discretion, any claim, dispute, or controversy arising out of or relating to these Terms or your use of the Service — including the determination of the scope or applicability of this agreement to arbitrate — shall be resolved by final and binding arbitration administered in accordance with the Arbitration Act, 1991 (Ontario). The arbitration shall be conducted in Toronto, Ontario, in the English language, before a single arbitrator.

You agree to waive any right to a jury trial or to participate in a class action lawsuit or class-wide arbitration. All claims and disputes must be brought on an individual basis and not as a plaintiff or class member in any purported class, collective, or representative proceeding.
